TEKMATIX PARTNER AGREEMENT TERMS

This Partner Agreement ("Agreement") is made between:

Tekmatix Pty Ltd ("Tekmatix", "we", "us", "our") – ABN 74164108954
and
The Partner Applicant ("Partner", "you", "your") whose details are submitted through the Tekmatix Partner Application Form.

Effective Date: The date this agreement is signed by the Partner.

1. Purpose

This Agreement governs your participation in the Tekmatix Partner Program as a preferred service provider listed in the Tekmatix Partner Directory. It outlines the terms of engagement, referral arrangements, and your responsibilities as a Partner.

2. Independent Relationship

You are an independent service provider.
You are not an employee, contractor, agent, or representative of Tekmatix.
Any agreements you enter into with Tekmatix users are private, direct contracts between you and the client.
Tekmatix accepts no responsibility for the outcomes, delivery, or disputes related to your services.

3. Eligibility & Conduct

To remain an active Partner, you must:

Be an active user of the Tekmatix platform at all times.
Maintain a high standard of professionalism, communication, and service delivery.
Represent Tekmatix positively and refrain from any actions that may harm the reputation of Tekmatix or its users.
Only market services you are genuinely qualified and capable to deliver.

Tekmatix reserves the right to remove any Partner from the directory at any time, for any reason, at its sole discretion.

4. Referral Fee Arrangement

You agree to pay Tekmatix a 10% referral commission on the total invoiced value of all services sold to Tekmatix-referred clients.
Referral commissions must be paid within 30 days of the client payment or part-payment being received by you.
Tekmatix will provide an invoice for the referral commission, or you will self-report and arrange payment.
Failure to accurately report and pay referral fees may result in immediate removal from the Partner Directory.

5. Marketing & Promotion

Tekmatix grants you permission to use the "Tekmatix Verified Partner" badge/logo for marketing purposes while you remain an active partner in good standing.
You may promote your listing and services using the branding and guidelines provided by Tekmatix.
Any paid promotional opportunities (e.g., feature webinars, email campaigns) are optional and subject to additional fees.

You may actively promote in the Tekmatix community page, groups and threads PROVIDED that you ONLY link your Tekmatix Partner page on the Tekmatix domain (not directly to your own site), so as leads from the Tekmatix community can be fairly tracked through the Tekmatix Partner Directory forms

6. Fees for Listing

You agree to pay the applicable monthly listing fee (as advertised at time of signup) to maintain your directory listing.
This fee is non-refundable and billed automatically until cancelled with 30 days' written notice.
Failure to pay the listing fee may result in immediate removal from the Partner Directory.

7. Intellectual Property

All Tekmatix branding, materials, logos, and intellectual property remain the exclusive property of Tekmatix.
You may not use Tekmatix IP outside of approved marketing use or imply any formal business ownership or representation of Tekmatix.

8. Limitation of Liability

Tekmatix makes no representations, warranties, or guarantees regarding the number of leads, projects, or earnings you may receive through the Partner Directory.
Under no circumstances shall Tekmatix be liable for any damages, claims, losses, or liabilities arising from your participation in the Partner Program or your dealings with Tekmatix users.

9. Termination

This agreement may be terminated:

By Tekmatix at any time for breach, misconduct, or at our sole discretion.
By you with 1 day written notice to [email protected].

Upon termination, all marketing rights, use of Tekmatix branding, and listing privileges cease immediately.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Queensland, Australia.
Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of Queensland, Australia.

11. Acceptance

By signing below, you acknowledge that you have read, understood, and agreed to the terms and conditions of this Tekmatix Partner Agreement.
